Wrooms User Agreement

Version 2026.09.07-1, effective September 7, 2026. The current agreement is presented during account creation and remains available here for review.

1. Parties, scope, and acceptance

This User Agreement (the “Agreement”) is between you and Wrooms (“Wrooms,” “we,” “us”). It covers wrooms.ai, Wrooms Auth, the Wrooms App, rooms, AI desks, Discover, Shop, Pay, files and media, Arcade, Streets, wallet and marketplace features, Latch Protocol, supported integrations, and related Wrooms services (the “Service”).

By creating an account, checking the acceptance box, completing a transaction that references these terms, or continuing to use the Service after a version that requires renewed acceptance is presented to you, you agree to this Agreement and any product-specific terms that apply to the feature or transaction you use.

The Terms summary, Privacy Policy, Cookie and Local Storage Policy, Digital Asset Risk Disclosure, feature disclosures, and transaction-specific terms supplement this Agreement. If a product-specific binding term expressly conflicts with this Agreement for a specific transaction, the more specific term controls that transaction and this Agreement otherwise controls use of the Service.

If you do not agree, do not create an account or use the Service. Wrooms may store the agreement version and hash associated with acceptance so the accepted public text can be identified later.

2. Eligibility and accounts

You must be at least 13 years old, or the higher minimum age required where you live. If parental or guardian consent is legally required, you may use the Service only with that valid consent. Payment, digital-asset, marketplace, or similar financial features can require you to be at least 18 and can have additional eligibility rules.

If you use the Service for an organization, you represent that you have authority to bind that organization. You must provide accurate account information, protect your credentials, and promptly update information that materially changes.

Wrooms can support password and third-party OAuth sign-in methods. Eligible verified identities can be linked under Wrooms account-linking rules. Removing one OAuth provider does not necessarily delete a Wrooms account that has another valid sign-in method.

You may not use a feature if doing so is unlawful for you, if you are subject to a restriction that prohibits the activity, or if Wrooms has restricted that feature for legal, sanctions, fraud, security, age, provider, or jurisdiction reasons.

3. Acceptable use

Use Wrooms lawfully and respect other people. Do not harass, threaten, exploit, defraud, impersonate, unlawfully discriminate, or submit unlawful content, including child sexual abuse material or non-consensual intimate imagery.

Do not spam, scrape, flood, probe, bypass authentication, evade rate limits, tamper with clients, manipulate integrity controls, reverse engineer except where law expressly permits it, introduce malicious code, or use the Service to attack Wrooms or another system.

Do not use stolen wallets or payment instruments, false identities, deceptive listings, market manipulation, sanctions evasion, laundering, fraud, or other unlawful or abusive transaction patterns through Wrooms.

Wrooms can remove content, restrict a transaction, revoke a session, suspend or close an account, preserve evidence, or take other proportionate action where reasonably necessary for safety, security, fraud prevention, legal compliance, provider requirements, or enforcement of this Agreement.

4. Your content and rooms

You retain the rights you have in content you submit. You grant Wrooms a worldwide, non-exclusive license to host, copy, transmit, process, moderate, display, adapt for technical delivery, back up, and otherwise use that content as reasonably necessary to provide, secure, and improve the Service.

You must have the rights needed to submit content. You are responsible for what you share and for selecting an appropriate room. Content shared with other people can remain available to those people under room, retention, safety, legal, or product rules even after you leave the room or close your account.

Latch Protocol supports live and durable messages, files, notes, audio, video, and related media. Delivery is best effort and uninterrupted real-time delivery is not guaranteed. Live media can be transient unless recorded, saved, attached, or retained for a lawful safety or technical purpose.

5. AI desks and automated systems

Wrooms AI desks and supported third-party AI seats are generative systems, not people. Output can be wrong, incomplete, biased, unsafe, or out of date. You must review output before relying on it.

AI output is not legal, investment, tax, accounting, medical, mental-health, engineering, employment, credit, or other licensed professional advice unless a separately identified qualified professional actually provides that service under separate terms. AI does not make a binding hiring, lending, care, or legal decision for you.

Multi-model features can ask more than one AI seat to work on the same request. Relevant prompts, room context, files, and output can be processed by Wrooms and service providers needed to operate the selected AI features, subject to the Privacy Policy and applicable provider terms.

Do not submit passwords, seed phrases, private keys, recovery phrases, full payment-card credentials, or other secrets to an AI desk. Wrooms can apply automated safety, abuse, privacy, and integrity controls to prompts and responses.

6. Pay, Shop, third parties, and financial services

Pay, Shop, on-ramp, off-ramp, card, bank, wallet, blockchain, app-store, identity, and other integrations can be supplied by third parties. Their terms, privacy notices, availability rules, fees, transaction limits, reversals, identity checks, and regulatory obligations can also apply.

Do not place payment-card credentials or bank authentication secrets in rooms. Wrooms may retain transaction identifiers, amounts, status, account references, fraud signals, and records needed for reconciliation, disputes, accounting, tax, security, or legal compliance.

A description of a Wrooms feature does not itself determine whether Wrooms or a third party is acting as a regulated financial institution, money transmitter, broker, exchange, custodian, payment processor, or other regulated intermediary. Status depends on the actual activity, facts, jurisdiction, and applicable law.

7. Wallets, keys, Arcade, Streets, and digital items

Wallet and key notice. Wrooms does not ask you to post an external-wallet seed phrase, recovery phrase, or private key in a room, AI prompt, or public page. Connected wallets, blockchain networks, and wallet providers can use different custody and recovery models and are subject to their own terms. Where Wrooms offers a wallet or signing feature, the applicable product flow describes how credentials or key material are handled. You are responsible for protecting secrets and verifying the destination, network, asset, and transaction before approval. Anyone who obtains a private key or recovery phrase may be able to control the associated assets, and recovery may be impossible.

A connected external wallet remains controlled according to that wallet, network, and provider. Public addresses and transaction hashes are not secret. Private keys, seed phrases, recovery phrases, passphrases, passwords, and signing credentials are secret. If you reveal, export, lose, or expose key material, Wrooms may be unable to prevent an unauthorized transfer.

Supported Streets items and other digital items can be represented as NFTs or other digital records. A purchase, trade, listing, transfer, or settlement can require a valid wallet signature, ownership proof, listing state, price, asset identity, and successful processing. Failed, reused, mismatched, or fraudulent proofs can be rejected.

Digital items have no guaranteed resale price, liquidity, rarity value, or future utility. Ownership of an NFT or digital item does not transfer the Wrooms name, logos, software, artwork rights, source code, or other intellectual property except to the extent an item expressly includes a separate license.

8. Digital assets and blockchain services

Digital-asset notice. Any wallet, token, stablecoin, digital collectible or NFT, staking, exchange, transfer, marketplace, on-ramp, off-ramp, or blockchain feature made available through Wrooms is subject to its actual functionality, provider, network, transaction, jurisdiction, and applicable law. Product descriptions do not determine whether Wrooms or a third party is acting as a broker, exchange, custodian, money transmitter, securities intermediary, commodities intermediary, financial institution, fiduciary, payment service, or other regulated person. Wrooms may require identity or sanctions screening, restrict jurisdictions or counterparties, pause or reject activity, require additional information, comply with lawful process, or disable a feature where reasonably necessary for law, safety, fraud prevention, or platform integrity. Nothing on Wrooms is investment, legal, accounting, tax, or fiduciary advice.

Digital-asset features can involve public blockchains, wallet providers, issuers, bridges, smart contracts, decentralized protocols, exchanges, liquidity providers, or other third parties that Wrooms does not control. Network rules, confirmations, forks, fees, congestion, outages, freezes, and provider restrictions can affect availability or settlement.

Public blockchain records can include addresses, transaction hashes, assets, amounts, timestamps, smart-contract interactions, and other transaction data. Public records are designed to persist, and closing a Wrooms account generally does not give Wrooms the ability to alter or erase records maintained by an independent blockchain or third party.

Digital assets can be volatile, illiquid, unavailable, delayed, restricted, frozen, or lose all value. A displayed price, quote, floor, reward rate, or valuation is not a guarantee of value, execution, liquidity, or future performance.

Blockchain and wallet transactions can be irreversible. A wrong address, compromised key, phishing event, unsupported network, smart-contract defect, bridge failure, chain reorganization, validator or RPC outage, or third-party wallet failure can cause delay or permanent loss.

Stablecoins can depeg, freeze, restrict redemption, change terms, or fail. Wrapped, bridged, or tokenized representations add protocol, reserve, bridge, issuer, and counterparty risks in addition to the underlying asset risk.

Staking, rewards, pools, swaps, listings, marketplace activity, and similar features are not bank deposits and do not promise interest or profit. Rewards, fees, eligibility, lockups, liquidity, and availability can change. Unless expressly stated for a specific regulated product, digital assets are not FDIC- or SIPC-insured.

Public blockchain records can expose wallet addresses, transaction identifiers, amounts, assets, timing, and relationships between addresses. Public ledger entries may be permanent and may not be deletable when you close a Wrooms account.

Digital-asset activity can create tax, recordkeeping, reporting, licensing, or other legal obligations. You are responsible for your own obligations except where applicable law assigns a specific duty to Wrooms or a third-party provider.

Laws, sanctions programs, provider rules, and regulatory interpretations can change. Wrooms may restrict, suspend, geofence, delist, refuse, or require additional verification for a feature or transaction to comply with applicable law, lawful requests, safety requirements, or provider restrictions.

9. Marketplace, staking, exchange, and transaction activity

If Wrooms makes a digital-asset, marketplace, staking, exchange, on-ramp, off-ramp, or similar feature available, feature-specific and third-party terms can apply. A displayed price, quote, floor, market capitalization, reward rate, fee, or allocation is product information, not a promise of future value, liquidity, execution, or return.

Wrooms does not promise that an asset will be listed on an outside venue, that liquidity will exist, that a transaction will execute when requested, that a reward program will continue, or that any digital asset or collectible will retain value.

Wrooms or an applicable provider may require identity verification, sanctions screening, tax information, source-of-funds information, geographic eligibility, transaction monitoring, holding periods, transfer restrictions, limits, or manual review where reasonably necessary for law, fraud prevention, provider requirements, or platform integrity.

Transactions can be final after successful processing except where law, transaction terms, fraud remediation, duplicate processing, chargeback rights, or a clear technical error permits or requires reversal. Network and third-party fees may be non-refundable.

10. Privacy, public networks, and data handling

The Privacy Policy explains how Wrooms handles account, OAuth, room, AI, media, payment, wallet, marketplace, security, and other data. Wrooms does not currently sell personal information or share it for cross-context behavioral advertising.

Wallet information can include public addresses, wallet type, signed linking proofs, transaction identifiers, digital-item ownership, asset and amount information, and transaction status. Public wallet or blockchain data can be personal data when it can be associated with a person or account.

Wrooms uses service providers for infrastructure, authentication, AI, email, databases, media, analytics, payments, wallet connectivity, blockchain access, security, and related operations. Those providers can process data as needed to provide their services under their own and Wrooms’ applicable contractual and legal controls.

Depending on applicable law, you may have rights to request access, correction, deletion, portability, or other privacy choices. Legal exceptions can apply, and public blockchain or third-party records may not be deletable after publication.

11. Records, deletion, and account closure

Wrooms can retain agreement acceptance, authentication, security, payment, marketplace, wallet, transaction, fraud, tax, accounting, dispute, abuse, and legal records for as long as reasonably needed or permitted by law. Different records can have different retention periods.

You can use Wrooms account controls to request account deletion. Deletion can remove or de-identify account data within the scope of the product process, subject to legal retention, shared-room data, fraud and security records, transaction records, and independent public-network limitations.

Deauthorizing one OAuth provider generally removes that provider link and can revoke sessions associated with that provider; it does not necessarily delete a Wrooms account that still has another valid sign-in identity.

Closing an account does not transfer, recover, or destroy an external wallet. Before deletion, you are responsible for exporting or securing any key material, assets, records, or content you need, subject to product controls and applicable law.

12. Wrooms intellectual property

Wrooms, the doorway logo, the Wrooms wordmark, Wrooms AI, Discover Wrooms, Latch Protocol, AI Multi Threading, Streets, Arcade, software, source code, prompts, product designs, documentation, and related systems are owned by Wrooms or its licensors unless expressly stated otherwise.

You receive a limited, revocable, non-exclusive, non-transferable license to use the Service as provided. You do not receive a license to copy, fork, operate, or brand a competing Wrooms service, or to use Wrooms marks except for factual reference or as otherwise permitted in writing or by law.

Nothing in a digital asset, NFT, account, wallet, transaction identifier, or public record transfers Wrooms trademarks, source code, software ownership, or other intellectual property rights.

13. Disclaimers, liability, and indemnity

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WROOMS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WROOMS DOES NOT WARRANT THAT THE SERVICE, AI OUTPUT, PAYMENTS, WALLETS, MARKETPLACES, THIRD-PARTY SERVICES, BLOCKCHAIN NETWORKS, OR DIGITAL ASSETS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, LIQUID, OR VALUABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WROOMS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GOODWILL, LOST KEYS, LOST DIGITAL ASSETS, OR LOST TOKEN VALUE, ARISING FROM OR RELATED TO THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WROOMS’ AGGREGATE LIABILITY FOR A CLAIM IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID WROOMS FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS.

Some jurisdictions do not allow certain warranty exclusions or liability limits. Those exclusions and limits apply only to the extent permitted by applicable law and do not limit non-waivable consumer rights.

You will indemnify and hold Wrooms harmless from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful content, misuse of the Service, wallet or transaction instructions, infringement of another person’s rights, or material breach of this Agreement, except to the extent the claim was caused by Wrooms’ own unlawful conduct where indemnity cannot lawfully apply.

14. Changes, law, disputes, and general terms

Wrooms may update this Agreement. The version on /agreement is the current public text. Material changes can require new acceptance, and where law requires additional notice or consent, Wrooms will provide it.

The laws of the Commonwealth of Pennsylvania and applicable United States federal law govern this Agreement, excluding conflict-of-law rules, except where mandatory law in your jurisdiction requires otherwise. Subject to non-waivable consumer rights and mandatory venue rules, state and federal courts with jurisdiction in Pennsylvania may hear disputes.

Before filing a non-urgent dispute, you and Wrooms are encouraged to contact each other and attempt in good faith to resolve it informally. This does not prevent either party from seeking urgent injunctive relief, using a legally required regulator or complaint process, or exercising rights that cannot be waived.

If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue in effect. Wrooms’ failure to enforce a provision once is not a waiver. You may not assign this Agreement without Wrooms’ consent except where law provides otherwise. Wrooms may assign it in connection with a merger, reorganization, sale, financing, or transfer of the Service, subject to applicable law.

This Agreement and incorporated product-specific binding terms are the entire agreement for your use of the Service, except for a separate written contract signed by Wrooms that expressly supersedes them. Questions: hello@wrooms.ai.
